Business Law

Taylor Global lawyers provide a broad range of business and corporate services to our clients.

Entity Selection and Formation

We help our clients assess the different legal options available for businesses in the US, including branch offices, C corporations, S corporations, limited liability companies, and partnerships.  Once the appropriate entity has been chosen, we prepare the necessary formation documents and file the appropriate documents with the Corporation Division.  We also provide initial advice regarding how to operate the new business in accordance with applicable law.  We also assist in the on-going maintenance of your company, including drafting required directors and shareholders meetings and acting as registered agent.  We can also assist with the creation of stock option plans and related issues.

Contracts

Businesses in the US interact with numerous other businesses and individuals.  We work with out clients to draft suitable contracts with suppliers, customers and other partners to protect our clients’ legal interests with a minimal impact on the business.  Our contracts include standard form terms and conditions for both sales and purchases, technology development and licensing agreements, and distribution and sales representation agreements.

Intellectual Property

We work with our clients to identify and protect valuable intellectual property.  We are able to handle both state and federal trademark and service mark applications and federal copyright applications.  We also work to develop strategies and documentation to protect trade secrets and patents.  We also have a great deal of experience in negotiating and drafting intellectual property licensing agreements.

Employment

We help our clients to develop and implement sound employment policies, consistent with US federal and state laws.  We help create employee handbooks and other basic employment documents.

Real Estate

We provide advice to our clients on real estate projects, including drafting and reviewing lease agreements and agreements for the purchase or sale of real estate.
